1. Acceptance of terms

By accessing or using vicomma.com (the "Platform"), creating an account, or using any of our services, you agree to be bound by these Terms & Conditions ("Terms"), our Privacy Policy, and our Acceptable Use Policy. If you do not agree to these Terms, do not use the Platform.

These Terms constitute a legally binding agreement between you and Vicomma ("we," "us," "our"). You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account and use the Platform.

2. About Vicomma

Vicomma is an online marketplace that connects brands and businesses ("Brands") with content creators, influencers, and freelance creatives ("Creators"). The Platform facilitates the discovery, hiring, communication, content delivery, and payment process between Brands and Creators.

Vicomma is a platform and intermediary — not a party to the service agreements between Brands and Creators. We do not employ Creators, and Creators are independent contractors who control how they deliver their services. Vicomma is not responsible for the quality, legality, or timeliness of services provided by Creators, except as outlined in our dispute resolution process.

3. Account registration

a. Creating an account

To use the Platform's full features, you must create an account by providing accurate, current, and complete information. You may register as a Creator, a Brand, or both. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

b. Account accuracy

You agree that all information provided during registration and profile setup is truthful and accurate. This includes your name, contact information, location, bio, portfolio, and any other information displayed on your profile. Providing false or misleading information may result in account suspension or termination.

c. One person, one account

Each individual may maintain one Creator account and one Brand account. Creating multiple accounts of the same type to manipulate search rankings, reviews, or platform features is prohibited.

4. Creator accounts & services

a. Profile and gig listings

Creators can list services ("Gigs") on the Platform by providing a service title, category, skills, portfolio images, description, and pricing packages. Creators are responsible for accurately describing the services they offer, including deliverables, timelines, and any limitations.

b. Profile activation

Creator profiles remain locked and invisible to Brands until all required profile fields are completed: full name, phone number, profile photo or video, bio (minimum 50 characters), country, state/province, city, and at least one published Gig. The profile completion tracker in the Creator dashboard shows progress toward activation.

c. Pricing

Creators set their own prices for Gig packages. Vicomma does not dictate pricing. Creators are responsible for pricing their services fairly and delivering the value described in their listings. Prices displayed on Gig listings are binding once an order is placed.

d. Delivery obligations

When a Creator accepts an order, they are obligated to deliver the agreed-upon content within the timeframe discussed with the Brand. Failure to deliver may result in order cancellation, refund to the Brand, and potential account penalties.

e. Revisions

Brands may request reasonable revisions to delivered content before approving the final delivery. Creators should accommodate reasonable revision requests that are within the scope of the original order. Disputes about the scope of revisions are handled through our dispute resolution process.

5. Brand accounts & orders

a. Placing orders

Brands can hire Creators by purchasing a Gig package directly from a Creator's profile or by sending a custom offer. When a Brand places an order, they agree to pay the listed price plus any applicable fees. The order constitutes an agreement between the Brand and Creator for the specified deliverables.

b. Order requirements

Brands are responsible for providing clear, complete, and reasonable content briefs and requirements to Creators. This includes brand guidelines, deliverable specifications, reference materials, and any other information the Creator needs to fulfill the order. Vague or incomplete briefs may lead to deliverables that don't match expectations.

c. Approval and revisions

When a Creator delivers content, Brands must review the delivery in a timely manner. Brands may approve the delivery, request reasonable revisions, or open a dispute if the delivery materially fails to meet the agreed requirements. Unreasonable delays in reviewing content may trigger auto-approval after a platform-determined period.

d. Usage rights

Usage rights for content created through the Platform are agreed upon between the Brand and Creator as part of the order. Brands should clarify usage rights (including paid ad usage, whitelisting, geographic scope, and duration) before placing an order. Vicomma does not automatically grant or transfer intellectual property rights — these are determined by the parties' agreement.

6. Campaigns

Brands may post campaign briefs to the Platform, describing content needs, budget, target demographics, and other requirements. Creators may view and apply to campaign briefs by submitting their rates and portfolios. Brands select which applicants to hire.

Posting a campaign brief does not obligate a Brand to hire any applicants. Applying to a campaign brief does not guarantee selection. Campaign briefs must not contain misleading information, illegal requests, or content that violates these Terms or the Acceptable Use Policy.

7. Payments & escrow

a. Escrow system

All payments on Vicomma are processed through our escrow system. When a Brand places an order, the payment is held by Vicomma — not sent directly to the Creator. The Creator can see that payment has been secured. Payment is released to the Creator's balance only after the Brand approves the final delivery (or after the auto-completion period, whichever comes first).

b. Platform fees

During the current early access period, Vicomma charges zero platform fees to Brands and zero commission to Creators. We reserve the right to introduce fees, commissions, or subscription tiers in the future. Any changes to the fee structure will be communicated to users in advance, and existing users may receive grandfathered rates or benefits.

c. Creator payouts

Once a Brand approves an order, the payment is released to the Creator's Vicomma balance. Creators can withdraw their balance through the available withdrawal methods in their dashboard. Vicomma is not responsible for delays caused by third-party payment processors or the Creator's financial institution.

d. Refunds

Refunds may be issued from escrow in the following circumstances: the Creator fails to deliver within the agreed timeframe, the delivered content materially fails to meet the agreed requirements after reasonable revisions, or a dispute is resolved in the Brand's favor. Refund decisions are made by Vicomma's support team based on the evidence provided by both parties.

e. Chargebacks & fraud

Brands who initiate payment chargebacks outside of Vicomma's dispute resolution process may have their accounts suspended. Creators who attempt to collect payment outside the Platform or who manipulate the escrow system may be permanently banned.

Important: All payments must go through Vicomma's escrow system. Brands and Creators must not arrange payments outside the Platform. Off-platform payments are not covered by Vicomma's escrow protection or dispute resolution, and may result in account termination.

8. Content & intellectual property

a. Creator content

Creators retain ownership of their original content (portfolio images, profile descriptions, Gig listings) unless otherwise agreed in a specific order. Content delivered to a Brand as part of a completed order is subject to the usage rights agreed upon between the parties.

b. Brand content

Brands retain ownership of their brand materials, logos, product images, and briefs shared with Creators. By sharing these materials through the Platform, Brands grant Creators a limited license to use them solely for the purpose of fulfilling the order.

c. Platform license

By uploading content to Vicomma (including profile photos, portfolio images, Gig descriptions, and delivered content), you grant Vicomma a non-exclusive, worldwide, royalty-free license to display, distribute, and promote that content on the Platform and in our marketing materials. This license is necessary to operate the marketplace — for example, displaying Creator portfolios to Brands, showing Gig listings in search results, and featuring content in promotional materials.

d. Copyright & DMCA

Vicomma respects intellectual property rights. If you believe content on the Platform infringes your copyright, please contact us at [email protected] with: a description of the copyrighted work, the URL of the infringing content, your contact information, and a statement that you have a good-faith belief that the use is unauthorized. We will investigate and remove infringing content in accordance with applicable law.

10. Dispute resolution

a. Between Brands and Creators

We encourage Brands and Creators to resolve disagreements directly through the Platform's messaging system first. If direct communication fails, either party may open a support ticket from their dashboard or contact [email protected].

b. Vicomma's role

Vicomma's support team will review the dispute, examine evidence from both parties (including order details, messages, delivered content, and the original brief), and make a determination. Possible outcomes include: additional revisions, partial or full refund to the Brand, release of payment to the Creator, or other resolution as appropriate. Vicomma's decision in disputes is final within the Platform.

c. Escrow during disputes

While a dispute is open, the escrowed payment remains locked. Funds are not released to either party until the dispute is resolved.

11. Account suspension & termination

Vicomma may suspend or terminate your account if you:

We will notify you of the reason for suspension or termination when possible. If your account is terminated, pending escrow funds will be handled according to the dispute resolution process. You may appeal an account suspension by contacting [email protected].

You may also voluntarily close your account at any time by contacting support. Account closure will result in the removal of your public profile and Gig listings. Outstanding orders and escrow balances must be resolved before closure.

Vicomma provides the Platform "as is" and "as available." To the maximum extent permitted by applicable law:

You agree to indemnify and hold harmless Vicomma, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, or expenses (including legal fees) arising from: your use of the Platform, your violation of these Terms, content you upload or deliver, your interaction with other users, or any third-party claims related to services you provided or received through the Platform.

The Platform may contain links to third-party websites or services. Vicomma does not control, endorse, or assume responsibility for third-party content, privacy practices, or terms. Your interactions with third-party services are governed by their respective terms and policies.

15. Modifications to terms

We may update these Terms from time to time. When we make material changes, we will:

Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms. If you do not agree with the changes, you should stop using the Platform and close your account.

16. Governing law

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles. Any legal disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts located in the State of Florida.
